Flex Lane

Terms and Conditions

Flex Lane LLC · Effective October 15, 2026 · Version 2026-10-v1

In short: we are your dispatcher and back office, working for you as your agent. You keep your authority. Your first 3 loads are free; after that the fee is 3–6% of what you collect, billed weekly. Either side can end it any time in writing. Our liability is capped. You can review us honestly. Florida law.

These terms are written in plain English on purpose. Section headings are part of the terms. If anything is unclear, email info@flex-lane.com before you sign up.

1. Who we are and what these terms cover

1.1 "Flex Lane", "we" and "us" mean Flex Lane LLC, a Florida limited liability company. "You" means the person or business using this website or signing up for our service.

1.2 These terms cover your use of flex-lane.com and the sign-up form on it. They also set out the basics of our service — what it is, what it costs and how it ends — so you know them before you sign up.

1.3 The service itself is governed by the carrier agreement you sign after our first call. If these terms and the carrier agreement say different things, the carrier agreement wins for anything about the service. These terms keep governing the website.

1.4 Our Privacy Policy explains what information we collect and how we use it, both when you sign up and once you are a customer. Please read it with these terms.

1.5 Flex Lane LLC is a private company. We are not part of, endorsed by or affiliated with FMCSA, USDOT or any government agency, and no registration with them requires you to use a dispatch service.

2. Accepting these terms

2.1 When you submit the sign-up form, you agree to these terms and confirm you have read the Privacy Policy. The form says so next to the button. We keep a record of which version you agreed to, when, and the IP address and browser you used, as the Privacy Policy describes.

2.2 If you don't agree, don't submit the form. You can still read the website; sections 1, 10, 11, 13, 14 and 16 describe how we offer it.

2.3 If you sign up for a business, you confirm you are allowed to agree on its behalf.

3. What Flex Lane is, and what it is not

3.1 Your dispatcher and back office. Flex Lane is an independent back-office service that works for the carrier, as your agent and on your instructions. We find and book loads and negotiate rates with brokers for you. We invoice brokers for the loads you haul and follow up until you are paid. We organize your load documents and keep your books, load by load. We do not factor or advance money, run driver settlements, file IFTA or other taxes, or prepare tax returns or profit-and-loss reports.

3.2 Not a broker. We are not a freight broker and not a motor carrier. We don't arrange transportation for shippers, we don't take possession or control of freight, and we don't receive or hold freight charges. Brokers pay you (or your factoring company) directly.

3.3 You keep your authority. You keep your own operating authority (MC and USDOT numbers), your own insurance, and all the responsibilities of a carrier of record, including safety, compliance, your drivers, your equipment and cargo claims.

3.4 What we sign. The only things we sign for you are rate confirmations and broker setup packets, and only under the limited authorization in the carrier agreement. We never sign any other contract, open accounts, change your insurance or authority, or receive, move or spend your money.

3.5 Your say on every load. On the setup call you choose to approve every load yourself, or to give us limits (minimum rate, lanes, home time) that we book inside without calling. We never accept a rate below your minimum without asking.

3.6 Independent businesses. We work for you only on the loads you approve or that fit the limits you set. We don't decide which of our carriers gets a load; each carrier's loads are booked under that carrier's own limits. Flex Lane and you are independent businesses: neither is the other's employee, partner or joint venture, and your drivers are yours.

4. Who can sign up

4.1 Our service is for businesses: owner-operators and small fleets with active operating authority and insurance in force. It is not for personal, family or household use, and not for anyone under 18.

4.2 New authority is welcome if your insurance is in place and your authority has no revocations. We tell you plainly that many brokers won't load an MC under 90 days old, so your first loads can take longer.

4.3 Everything you give us — company details, MC/USDOT, insurance, documents, references — must be accurate and kept up to date. If it isn't, we can pause or end the service.

4.4 We review every sign-up. Submitting the form asks us to call you; it doesn't start the service. We dispatch dry van, reefer, flatbed and step deck. We may decline a sign-up — for example if we don't run your equipment type, your authority or insurance isn't in order, or we are at capacity — and we will tell you either way. If we are at capacity we may offer you a place on our waitlist.

5. The offer, the fee and payment

5.1 First 3 loads booked free. We book your first 3 loads with no fee at all — booking, invoicing and books included. One signed rate confirmation is one load, multi-stop included. A load cancelled before it moves (no rate confirmation, or the broker cancels) doesn't count. The free loads are for carriers new to Flex Lane, one set per MC/USDOT number; a carrier that leaves and comes back does not get a second set. "Free" means no Flex Lane fee; your own costs — fuel, tolls, lumpers, your factoring company's fee — are still yours. A load you cancel after signing the rate confirmation doesn't count toward your 3 free loads; after the free loads, the fee is due on whatever the broker pays for it. There is no obligation to continue after them.

5.2 After that: 3% to 6% of what you collect. Your exact rate is set from your MC/DOT history on our first call and written into the carrier agreement. The fee is charged on what the broker actually pays for a load we booked — not on what was invoiced. No payment, no fee; part payment, fee on that part only. The fee applies only to loads we book for you. "What you collect" means what the broker pays for the load before any factoring fee: line haul, fuel surcharge and detention; reimbursed costs such as lumper fees don't count. Your rate changes only by written agreement between us, with at least 30 days' notice.

5.3 No setup fees, no flat monthly fees, no long-term contract.

5.4 How billing works. Invoicing runs on a weekly schedule:

  • Broker invoices. Once a week we send the brokers the invoices for the loads you delivered that week, with the paperwork attached.
  • Your fee invoice. At the end of each week we send you one invoice for the fee on what you collected that week — broker payments received by you or by your factoring company. It is due by the end of the next business day after we send it; starting an ACH or card payment through our payment processor by then counts as paid on time. We don't keep a card on file and we never charge you automatically.
  • We never ask for card or bank details by phone, text or email.
  • We never deduct from broker payments and we never hold your money.
  • If you think a fee invoice is wrong, tell us within 7 days and we'll sort it out.

The day the week closes and what happens if a fee invoice is late are in the carrier agreement.

5.5 Prices in ads. Our ads and pages state the main conditions next to the offer; this section has the full set, and it applies to every ad.

6. No guarantee of loads, rates or earnings

6.1 Markets change. We do not promise any number of loads, any rate, any lane, or any level of earnings. Past results are not a promise of future ones.

6.2 Brokers pay you, not us. Following up on an invoice is not a guarantee that a broker pays. Brokers are responsible for their own payments; your remedy for non-payment is against the broker (or through your factoring company), not against us.

6.3 Estimates, not advice. Any estimate we give you — a likely rate, how long a lane takes, what a week might earn — is our honest read of the market that day, not a promise. The decisions are yours. We don't give legal, tax or financial advice; our bookkeeping is a record of your loads, not tax preparation.

7. Cancelling

7.1 Any time, in writing. Either of us can end the service at any time, in writing, with no notice period and no cancellation fee. For you, an email to info@flex-lane.com is enough; we email the address on your agreement.

7.2 Booked loads finish. Loads already booked when either of us cancels are finished and invoiced as normal. The fee on those loads is still due once the broker pays you (none if a load is one of your 3 free loads). Our authority to sign for you ends with the service, except for paperwork on those loads.

7.3 After that. We stop booking new loads and stop contacting you, apart from what is needed to finish the booked loads and send the last invoice. Your documents stay available to you as section 8 describes.

8. Your documents and your data

8.1 Your documents are yours. Rate confirmations, bills of lading, proof of delivery, invoices and your business records remain your property. We use them to provide the service and as 8.4 describes, and for nothing else.

8.2 We keep them for at least 5 years. You can ask for a copy or an export at any time during the service, and for 30 days after it ends; after that, on request while we still hold them. When our retention period ends we delete them, and we tell you at least 30 days before we do. We protect your documents with reasonable security and will tell you of any breach that affects them, as Florida law requires.

8.3 You remain the record-keeper. Keeping the records a carrier must keep under FMCSA and tax rules is still your legal responsibility. Our storage is a service to you, not a substitute for your own compliance.

8.4 How we learn from the loads we book. For every load we book for you, we keep a record: lane, rate, equipment, dates, broker, and how long the broker took to pay. We use those records inside Flex Lane to run and improve the service — checking rates, seeing which lanes and brokers perform, and improving how we dispatch and invoice. What we learn may inform our work for other carriers (for example, that a broker pays slowly), but we never show another carrier or a broker your name, your rates or your documents. Anything we publish outside Flex Lane is combined across carriers so it cannot identify you. We don't sell this information. The Privacy Policy's "Customers" section describes this in more detail.

8.5 Confidentiality. We keep your non-public information — rates, broker relationships, financial details, documents — private. We share it only as needed to book and invoice your loads (with brokers, and with your factoring company if you use one), with the service providers that run our systems on our behalf (listed by role in the Privacy Policy), or as the law requires. The documents you give us may contain details about other people — your drivers, broker and shipper contacts. You confirm you are allowed to share those with us for this purpose.

9. Calls, texts and emails

9.1 Email is how we send notices. By signing up you agree that we may send notices, invoices, documents and updates about the service by email, and that an email counts as "in writing". Keep copies of what we send. You can ask for a paper copy of any notice, or tell us you no longer want notices by email.

9.2 How we contact you. We contact you by phone, text and email about getting started and, once you are a customer, about your loads, invoices and documents. Calls and texts come from our team by hand: no autodialer, no recorded messages, no automated texts. Calls are not recorded. Some emails — the confirmation when you sign up, fee invoices from our payment processor, e-signature links — are sent by the systems we use. Message frequency varies; message and data rates may apply. We call during normal business hours in your time zone.

9.3 How to stop. Tell us any clear way — reply STOP to a text, say so on a call, or email info@flex-lane.com. We stop promptly, and always within 10 business days, and we keep your request on file so we don't contact you again.

9.4 What stopping does. A stop request stops our calls, texts and emails, except what is needed to finish loads already booked and to send the invoices for them. It doesn't end the carrier agreement; that stays in place until you or we end it under section 7. With contact stopped we can't offer you new loads, so if you want to stop working with us, cancel under section 7 as well.

10. Using the website

10.1 You may use the website and its content for your own business purposes: reading it, sharing links, printing pages. The content (text, design, logo and images) belongs to Flex Lane LLC or to the people who let us use it. Don't reuse it as your own.

10.2 Don't misuse the site: no automated scraping or bulk copying, no attempts to get around the spam check on the form, no false sign-ups, no interference with how the site runs, and nothing unlawful.

10.3 The site may link to other websites. We are not responsible for them or for how they handle your information.

10.4 We try to keep the site accurate and available, but it is provided "as is": we don't promise it will always be available, error-free or free of viruses.

11. Limits on our liability

11.1 What we are not responsible for. As carrier of record, you are responsible for the freight. Flex Lane is not liable for cargo loss or damage, accidents, injuries, fines, broker non-payment, or anything else that comes from moving the freight or from a broker's actions. This doesn't excuse our own mistakes in booking or invoicing; for those, 11.2 and 11.3 set the limit.

11.2 Cap. For everything else arising from the website or the service, our total liability to you is limited to the fees you paid us in the 12 months before the problem happened, or $500, whichever is greater. The carrier agreement says the same.

11.3 No indirect losses. We are not liable for lost profits, lost loads, lost business or any indirect or consequential loss (losses that follow on from a problem rather than being caused by it directly), even if we were told it could happen.

11.4 Exceptions. Nothing in these terms limits liability that Florida law doesn't let us limit, such as liability for our fraud, gross negligence or willful misconduct.

11.5 Things outside our control. Neither of us is responsible for delay or failure caused by things outside our reasonable control — weather, road closures, outages of systems we rely on, broker or shipper actions. Fees already due are still due.

12. Your right to review us

Nothing in these terms stops you from leaving an honest review of our service, positive or negative, anywhere you like. Federal law protects that right, and we support it.

13. Governing law and disputes

13.1 Florida law governs these terms, wherever you are based.

13.2 If we have a dispute, we both agree to try to sort it out by talking first: email info@flex-lane.com and we will respond within 10 business days.

13.3 Any dispute that can't be resolved that way is brought in the state or federal courts located in Florida, and both of us agree to that venue.

14. Changes to these terms

14.1 We may update these terms. The new version is posted here with a new effective date and version number, and the old versions stay linked at the bottom. If a change affects you as a customer, we email you at least 14 days before it takes effect.

14.2 We keep a record of the version you agreed to for as long as you are a customer and for 5 years after. Continuing to use the website or the service after a change means you accept the new version for what these terms cover; if you don't, section 7 lets you leave at any time. A change to these terms never changes your signed carrier agreement — your rate, the free loads and how the service ends change only as that agreement says, in writing and agreed by both sides.

15. Contact

Flex Lane LLC, a Florida limited liability company info@flex-lane.com — for questions, cancellations and legal notices. For requests about your information, see the Privacy Policy. We never ask for card or bank details by phone, text or email; if a message claiming to be from us does, forward it to info@flex-lane.com.

16. General

16.1 Transfers. You can't transfer your agreement with us to someone else without our OK. We may transfer ours to a successor that takes over our business, and we'll tell you if we do.

16.2 The whole arrangement. These terms, the Privacy Policy and, once you sign it, the carrier agreement are the whole arrangement between us; nothing said in an ad, a call or a text adds to them unless it's written into the agreement.

16.3 Letting something slide. If we let something slide once, we can still insist on it later.

16.4 What survives. Sections 7.2, 8, 11, 12, 13 and this section keep applying after the service ends.

16.5 If a part is unenforceable, the rest still applies.

Previous versions: none; this is the first.
